Proloda Driver Services Agreement
Version 2, effective October 20, 2026.
This agreement is between you and Moatett Rapid Haul Canada LP, operating as Proloda ("Proloda", "we", "us"), 160 Phelps Way #105, Saskatoon SK S7V 0K7, support@proloda.com, +1 306-261-3997. It sets out how you provide delivery services to Proloda through the Proloda Driver app, how you are paid, and when your access can be paused or ended. The Driver Privacy Policy and the safety standards published in the app form part of it.
1. How Proloda works
Proloda sells deliveries; you carry them for Proloda. Customers contract with Proloda, not with you, to move their goods, and pay Proloda. Proloda buys the carriage of each job it offers you from you, as an independent subcontractor, for the pay shown in the offer. You are not Proloda's agent and you do not collect money for anyone. Do not accept payment from a customer for a job, other than a tip they choose to give you.
You are independent. You decide when to go online, how long to work and which offers to accept. You may work for other platforms, including competitors, and run your own business. You supply your vehicle, phone, fuel and equipment, and you bear your own costs. Nothing in this agreement makes you an employee, and nothing in it takes away a right you have under employment standards, human rights, workplace safety or workers' compensation law, or under Ontario's Digital Platform Workers' Rights Act, 2022.
2. Eligibility and documents
Before your first job, and while you use Proloda, you must hold a valid driver's licence for your vehicle class, the right to work in Canada, valid vehicle registration, insurance that covers commercial delivery use, and a police clearance certificate, and give us your Social Insurance Number for tax reporting and your banking details through Stripe. Keep your documents current: the app tracks their expiry dates. Tell us within 48 hours if your licence is suspended, your insurance lapses, you are charged with a criminal or driving offence, or your right to work changes.
3. Doing a job
Offers. An offer shows the job, the vehicle it needs and your pay before you accept it. You may decline any offer. Do not accept a job that exceeds your vehicle's capacity or your licence class.
Addresses. Until you need the exact address to come to the customer, you see the area of the pickup and destination, not the exact address: for an instant job until you accept it, and for a scheduled job until its start window, 3 hours before pickup. Use the customer's address only to do the job.
Contact with customers. Contact customers only through the app. Before you arrive at pickup, or before the pickup time of a scheduled job, the app offers set messages only; calls and free messages open after that. Calls are masked.
Arriving. Mark Arrived only when you are at the pickup. The app checks your location; an arrival the check does not confirm does not count for cancellation charges. Never falsify your location.
If the customer cannot be reached. If you arrive at pickup and the customer is not there, wait at least 10 minutes from your confirmed arrival and try to reach them through the app before you report a no-show. Report only a real no-show. A false report, or a false arrival, is serious misconduct.
Doing the work. Handle goods with care, secure every load, photograph the goods at pickup and at delivery, update the job status as you go, and refuse dangerous, illegal or prohibited items. Once loading starts, the customer cannot cancel; if something is wrong, report a problem in the app.
4. Your pay
For a completed job. Your pay is the job's price before tax, less Proloda's service and scheduling fees, less Proloda's margin, a percentage of the rest fixed when the job is quoted. The offer shows the resulting pay before you accept. Proloda pays you in addition all of any extra waiting time or distance charged to the customer for the job, and all of any tip.
When a customer cancels. If a customer cancels a job you accepted, or does not show up, and Proloda charges them a cancellation or no-show amount, Proloda pays you a share of that amount before tax, as compensation for the cancelled job. The share is shown in the app and is 100% today. Where the charge is the customer's actual cost of your trip, as it is for customers in Québec, your share is 100%. You are paid only from charges Proloda actually collects, except for Ontario work, as section 5 explains.
When we may hold or reverse cancellation pay. Outside Ontario, cancellation pay is released 72 hours after the customer's charge is collected. Outside Ontario, we may hold it while we review an arrival or a no-show our systems flag, and we may cancel or recover it if the customer's charge is refunded, waived, written off or reversed by their bank, or if the arrival or no-show was false. We tell you the reason for any hold or recovery, and a hold under review ends with a decision.
Recovering other amounts. Outside Ontario, where the law allows it, we may recover from your later pay an amount paid to you in error, a customer refund caused by your fault, or a loss caused by your misconduct, and show it in your earnings statement.
When you are paid. The pay period is one week, Monday to Sunday. Pay you earn in a pay period is sent to your bank account by the following Monday, Proloda's pay day. Your earnings statement in the app shows every job, cancellation and adjustment.
Taxes. You are responsible for your income tax and, once you must register, for GST/HST on your services. Proloda reports what it pays you to the Canada Revenue Agency where the law requires it.
5. Work in Ontario
A job whose pickup or destination is in Ontario is Ontario work. For Ontario work, Proloda follows the Digital Platform Workers' Rights Act, 2022:
- Your pay, including cancellation pay, is earned when the job is completed or cancelled and is paid on the pay day of that pay period. It is never held back for a waiting period or a review.
- Proloda does not withhold or deduct from your Ontario pay, or make you pay it back, unless a statute or a court order allows it. A refund to the customer, an unpaid customer charge or a dispute is Proloda's loss, not yours.
- Disputes about Ontario work under that Act are resolved in Ontario.
6. Pausing or ending your access
You may stop at any time. Finish or hand back any job you have accepted, then go offline or close your account in the app.
Written reasons. If we remove your access to the platform, even briefly, we tell you why in writing.
Two weeks' notice. If we remove your access for 24 hours or more, we give you written notice at least two weeks before it takes effect, and you can keep working until then. We do not give that notice where the removal is for wilful misconduct, a threat to someone's safety, or a legal requirement, including a licence, work permit, insurance or vehicle registration that has expired or been withdrawn. A police clearance certificate that expires is not a legal requirement: we give two weeks' notice before removing access for it, unless we reminded you of the expiry at least 14 days before.
Reasons we may remove access. An expired or failed document or check; insurance that no longer covers the work; a credible safety complaint or a violent, threatening or discriminatory incident; fraud, including false arrivals, false no-show reports or location falsification; soliciting customers off the platform; repeatedly cancelling accepted jobs; or performance that stays below the published standard after we have told you and given you a chance to improve.
Appeal. You may appeal any removal within 30 days at support@proloda.com. Someone not involved in the decision reviews it and answers in writing, normally within 10 business days. We keep records of removals and reinstatements for at least three years.
Pay you have earned. Ending your access never affects pay you have already earned.
7. Customers and confidentiality
Do not solicit customers. While you work with Proloda, you may not invite a customer you met through Proloda to book you directly, outside the app. Use customer names, addresses and contact details only to do the job, and keep them confidential during and after your time with Proloda. This does not stop you from helping in an emergency or for someone's safety, from talking to a customer who calls you inside the arrival area of a job, from working for a customer who contacts you after a job without using anything you learned through Proloda, or from working for customers you already had before you met them through Proloda.
Your own information. Nothing in this agreement stops you from discussing your pay, your working conditions or your experience on the platform with anyone, including other drivers, a union, a lawyer or a government body.
8. Insurance and responsibility
You must carry, at your own cost, automobile insurance that meets your province's minimum and covers commercial delivery use, and any other insurance your province requires. Proloda does not insure you, your vehicle or the goods you carry. Outside Ontario, where a loss or damage claim is caused by your negligence or breach of this agreement, you are responsible for it as the law allows. Proloda is not liable to you for indirect losses, such as lost earnings, except where the law does not allow that exclusion.
9. Disputes and applicable law
Talk to us first. Send any dispute to support@proloda.com with the details and the outcome you want. We answer in writing and try in good faith to resolve it within 30 days.
Courts. If it is not resolved, you may bring it before the courts of the province or territory where you mainly do jobs, or before any tribunal that has jurisdiction. This agreement contains no arbitration clause and no class action waiver; you and we may agree to mediation or arbitration after a dispute arises. Disputes about Ontario work under the Digital Platform Workers' Rights Act, 2022 are resolved in Ontario.
Applicable law. This agreement is governed by the laws of the province or territory where you mainly do jobs and the federal laws of Canada that apply there. Drivers in British Columbia are also covered by the British Columbia courier agreement, which prevails there to the extent of any conflict.
10. Changes to this agreement
We may change this agreement by publishing a new version. We send you written notice by email and in the app at least 14 days before a new version applies to you, describing the change and the date. Until that date the current version applies. If you do not accept the new version, you may stop using Proloda before then; your earned pay is not affected. Jobs already completed keep the terms they were done under.
11. General
Language. This agreement is available in English and French. La présente entente est offerte en français et en anglais.
Whole agreement. This agreement, the Driver Privacy Policy and the safety standards published in the app are the whole agreement between you and Proloda, and replace the Driver Terms of Service you may have accepted before. If any part is found invalid, the rest continues to apply. You may not transfer this agreement; we may transfer it to a business that takes over Proloda, with notice to you.
